| Настоящие условия рекламных услуг в рамках программы «Яндекс.Плюс Кэшбэк» (далее — «Условия») устанавливают и регулируют порядок и условия предоставления Яндексом Ресторану рекламных услуг в рамках заключенного Яндексом и Рестораном Договора на условиях Оферты на оказание услуг «Яндекс.Еда» (далее — «Оферта»), и являются его неотъемлемой частью. | These terms and conditions of the provision of advertising services within the Yandex.Plus Cashback program (hereinafter referred to as the “Terms and Conditions”) establish and regulate the procedure for and conditions of the provision of advertising services by Yandex to the Restaurant within the framework of the Agreement concluded by Yandex and the Restaurant on the conditions of the Offer for the provision of Yandex.Food services (hereinafter referred to as the “Offer”), and constitute an integral part thereof. |
| 1. ТЕРМИНЫ И ОПРЕДЕЛЕНИЯ | 1. TERMS AND DEFINITIONS |
| Программа — программа потребительской лояльности «Яндекс.Плюс Кэшбэк», реализуемая совместно ООО «ЯНДЕКС» и Партнерами, включая Яндекс, в соответствии с Правилами (рекламное мероприятие); | Program shall mean the Yandex.Plus Cashback consumer loyalty program implemented jointly by Yandex LLC and the Partners, including Yandex, in accordance with the Rules (promotional event). |
| Правила — документ «Правила программы лояльности «Яндекс.Плюс Кэшбэк», размещенный в сети Интернет по адресу: https://yandex.ru/legal/plus_loyalty; | Rules shall mean the document named Yandex.Plus Cashback Loyalty Program Rules posted on the Internet at https://yandex.ru/legal/plus_loyalty. |
| Пользователь — полностью дееспособное физическое лицо, достигшее возраста, необходимого для принятия участия в Программе, принявшее условия Правил путем полного и безоговорочного акцепта для участия в Программе; | User shall mean a fully capable individual who has reached the age required to participate in the Program, who has accepted the terms of the Rules by full and unconditional acceptance for participation in the Program. |
| Партнер — юридическое лицо или индивидуальный предприниматель (включая Ресторан), реализующие совместно с ООО «ЯНДЕКС» и Яндекс Программу. | Partner shall mean a legal entity or individual entrepreneur (including the Restaurant) that implements the Program together with YANDEX, LLC and Yandex. |
| Баллы — технические условные единицы, начисляемые Пользователю по основаниям, установленным в Правилах, и направленные на увеличение активности Пользователей в приобретении товаров и услуг, учитываемые на Карте. Для целей совместной реализации Программы Стороны установили, что 1 Балл соответствует Скидке / возможности получить Скидку в размере 1 бел.руб. Баллы не являются денежными средствами, не могут быть обналичены или обменены на денежные средства и могут быть использованы Пользователем только для получения Скидки на условиях настоящих Правил. | Points shall mean technical conventional units awarded to the User on the grounds set forth in the Rules and aimed at increasing the User's activity in purchasing goods and services, credited on the Card. For the purposes of joint implementation of the Program, the Parties have established that 1 Point corresponds to a Discount / opportunity to receive a Discount in the amount of BYN 1. The Points are not monetary assets, they cannot be cashed in or exchanged for money, and may only be used by the User to receive the Discount under these Rules. |

| Учетная запись — учетная запись Пользователя в «Яндекс ID» (https://passport.yandex.ru), используемая для идентификации Пользователя как участника Программы и владельца Карты. | Account shall mean a User account in Yandex ID (https://passport.yandex.ru) which allows identifying the User as a Program participant and Card holder. |
| Скидка — предоставляемая Участнику Программы скидка на стоимость Товара при использовании Баллов в соответствии с Правилами; | Discount shall mean a discount provided to a Participant of the Program on the cost of Goods when using Points in accordance with the Rules. |
| Товар — пищевая продукция и напитки (за исключением алкогольных), Покупка которых является основанием для начисления Баллов в соответствии с Правилами, либо на стоимость которых предоставляется Скидка при использовании Баллов в соответствии с Правилами. | Goods shall mean food products and beverages (except for alcoholic beverages), the Purchase of which is the ground for Points accrual according to the Rules, or on the cost of which a Discount is provided when Points are used according to the Rules. |
| Покупка — приобретение (заказ и оплата) Пользователем в целях личного потребления Товаров посредством Сервисов Яндекса и/или Партнеров, а также иные действия Пользователя, направленные на увеличение активности Пользователя в приобретении Товаров посредством Сервисов Яндекса и/или Партнеров, являющееся в соответствии с Правилами основанием для начисления Баллов. | Purchase shall mean the purchase (order and payment) of Goods by the User through Yandex and/or Partners' Services for the purposes of personal consumption, as well as other actions of the User aimed at increasing the User's activity in the purchase of Goods through Yandex's and/or Partners' Services which, in accordance with the Rules, are the ground for Points accrual. |
| Начисление Баллов — увеличение количества Баллов на Карте по основаниям, предусмотренным в Правилах; | Points Accrual shall mean an increase in the number of Points on the Card on the grounds provided for by the Rules. |
| Списание Баллов — уменьшение количества Баллов на Карте по основаниям, предусмотренным в Правилах. При Списании Баллов новое начисление Баллов не происходит. | Points Writing-off shall mean a decrease in the number of Points on the Card on the grounds provided for by the Rules. In the case of Points Writing-off, no Points are accrued. |
| 2. РЕКЛАМНЫЕ УСЛУГИ | 2. ADVERTISING SERVICES |
| 2.1. По настоящему Соглашению Яндекс обязуется оказать Ресторану рекламные услуги, направленные на формирование и поддержание интересов потребителей к Ресторану и Товарам Ресторана путем участия Ресторана в Программе в качестве Партнера и Начисления Баллов Участникам Программы в связи с совершением ими Покупок Товаров Ресторана на Сервисе (далее — «Услуги»). | 2.1. Under this Agreement, Yandex shall provide advertising services to the Restaurant aimed at generating and maintaining consumer interest in the Restaurant and Restaurant Goods through the Restaurant's participation in the Program as a Partner and through the Points Accrual to the Program Participants in connection with their purchases of Restaurant Goods via the Service (hereinafter referred to as the “Services”). |
| 2.2. В случае Списания Баллов при Покупке Товара в Ресторане на Сервисе, Яндекс обеспечивает поступление в адрес Ресторана полной стоимости Товара в порядке, предусмотренном п. 5.2.7 Оферты. | 2.2. In the case of Points Writing-off during the Goods Purchase from the Restaurant via the Service, Yandex shall ensure that the full value of the Goods is transferred to the Restaurant in the manner set forth in clause 5.2.7 of the Offer. |
| 2.3. Яндекс вправе предоставить Ресторану техническую возможность проведения за счет Ресторана рекламных акций по начислению дополнительных Баллов Пользователям. По своему усмотрению Яндекс может отказать Ресторану в проведении рекламных акций. Ресторан оформляет заявку на проведение рекламной акции с описанием ее условий в Личном кабинете. | 2.3. Yandex shall have the right to allow the Restaurant the technical possibility to conduct promotions, at the Restaurant's expense, to accrue additional Points to the Users. Yandex may, at its sole discretion, refuse to allow the Restaurant to conduct promotions. The Restaurant shall make an application for a promotion with a description of its terms and conditions in Personal Area. |
| 2.4. В рамках оказания Услуг, Яндекс по собственной инициативе может разместить информацию о Ресторане и о проводимом рекламном мероприятии (об условиях Начисления Баллов за Покупки Товаров в Ресторане) на Сервисе Яндекса в целях привлечения внимания, формирования и поддержания интереса Пользователей к Сервису. | 2.4. As part of the Services, Yandex on its own initiative may place information about the Restaurant and the promotional event (on the conditions of Points accrual for Goods Purchases in the Restaurant) on the Yandex Service in order to attract attention, create and maintain the interest of Users to the Service. |
| 2.5. Яндекс в целях привлечения внимания Пользователей к Сервису и повышения уровня их лояльности по своему усмотрению и за свой счет вправе начислять дополнительные Баллы Пользователям. | 2.5. In order to attract the Users' attention to the Service and to increase their loyalty, Yandex shall have the right to accrue additional Points to the Users at its own discretion and at its own expense. |
| 2.6. Стороны отдельно согласовали, что в связи с техническими особенностями интеграции Программы в Сервис площадки присутствия Сервиса (веб-сайты, прикладные программы, в том числе программы для мобильных устройств) могут подключаться для Начисления и Списания Баллов не единовременно. | 2.6. The Parties have separately agreed that, due to technical features of integrating the Program into the Service, the Service availability areas (websites, applications, including programs for mobile devices) may not be connected for the Points Accrual and Writing-off at the same time. |
| 2.7. Стороны установили, что Яндекс будет оказывать Услуги Ресторану на территории г. Минска. В случае изменения перечня регионов, в которых Яндекс будет оказывать Услуги Ресторану, Стороны обязуются согласовать новую территорию оказания Услуг в рабочем порядке по электронной почте и/или иным доступным способом. | 2.7. The Parties have established that Yandex will provide the Services to the Restaurant in the territory of Minsk. In case the list of regions where Yandex provides Services to the Restaurant is changed, the Parties shall agree on the new territory of the Services provision in the regular course of business via e-mail and/or by other available means. |
| 3. СТОИМОСТЬ УСЛУГ | 3. COST OF THE SERVICES |
| 3.1. Стоимость Услуг Яндекса указывается в Актах об оказанных Услугах. | 3.1. The cost of Yandex Services shall be specified in the Services Acceptance Certificate. |
| 4. СРОК ДЕЙСТВИЯ УСЛОВИЙ И ИЗМЕНЕНИЕ УСЛОВИЙ | 4. VALIDITY AND AMENDMENTS TO THE TERMS AND CONDITIONS |
| 4.1. Условия вступают в силу с даты, указанной в разделе «Дата вступления в силу», или публикации Условий в сети Интернет по адресу: https://yandex.by/legal/eda_plus_for_restaurants в зависимости от того, какое из событий наступит позже, и действует до момента отзыва Условий Яндексом. | 4.1. The Terms and Conditions shall become effective on the date specified in the “Effective Date” section or when the Terms and Conditions are posted on the Internet at: https://yandex.by/legal/eda_plus_for_restaurants, whichever is later, and shall remain in effect until the Terms and Conditions are withdrawn by Yandex. |
| 4.2. Яндекс оставляет за собой право внести изменения в Условия и/или отозвать Условия в любой момент по своему усмотрению. В случае внесения Яндексом изменений в Условия такие изменения вступают в силу с момента размещения измененного текста Условий в сети Интернет по адресу: https://yandex.by/legal/eda_plus_for_restaurants, если иной срок вступления изменений в силу не определен дополнительно при таком размещении. | 4.2. Yandex reserves the right to modify and/or withdraw the Terms and Conditions at any time at its sole discretion. If Yandex makes amendments to the Terms and Conditions, such amendments shall become effective upon posting the Terms and Conditions as amended on the Internet at: https://yandex.by/legal/eda_plus_for_restaurants, unless any other term for entering into force of the amendments is additionally specified during such posting. |
| 5. СРОК ДЕЙСТВИЯ СОГЛАШЕНИЯ И ИЗМЕНЕНИЕ СОГЛАШЕНИЯ | 5. DURATION AND AMENDMENTS TO THE AGREEMENT |
| 5.1. Ресторан производит акцепт Условий (полное и безоговорочное принятие Условий) путем заполнения Заявки, направленной Яндексом Ресторану по электронной почте. Соглашение вступает в силу с момента акцепта Условий. | 5.1. The Restaurant shall accept the Terms and Conditions (full and unconditional acceptance of the Terms and Conditions) by filling out the Application sent by Yandex to the Restaurant by email. The Agreement shall come into force from the moment of acceptance of the Terms and Conditions. |
| 5.2. Яндекс после получения Заявки Ресторана вправе по электронной почте подтвердить возможность оказания Услуг, согласовать с Рестораном иные необходимые условия оказания Услуг либо отклонить Заявку (Рейтинг Ресторана на Сервисе ниже, чем 4.1; приостановление рассмотрения Заявок по техническим причинам в Сервисе и иным объективным причинам).Обязанность по оказанию Услуг, содержащихся в Заявке Ресторана, возникает у Яндекса только с момента подтверждения Заявки Яндексом в объеме, содержащемся в таком подтверждении. Яндекс вправе без объяснения причин отклонить Заявку Ресторана и отказаться от оказания Услуг. Яндекс вправе в одностороннем внесудебном порядке отказаться от исполнения обязательств, принятых в соответствии с Соглашением, путем направления соответствующего сообщения Ресторану по электронной почте за 10 (десять) календарных дней до приостановления обязательств. Расторжение настоящего Соглашения не влияет на действие Оферты. | 5.2. After receipt of the Application from the Restaurant, Yandex shall have the right to confirm by email the possibility of the provision of the Services, to agree with the Restaurant on other necessary conditions for the provision of the Services or to reject the Application (if the Rating of the Restaurant on the Service is lower than 4.1; in case of suspension of consideration of Applications for technical reasons within the Service or other objective reasons). The obligation to provide the Services contained in the Application from the Restaurant shall be born by Yandex only after the confirmation of the Application by Yandex to the extent contained in such confirmation. Yandex shall have the right to reject the Application from the Restaurant and refuse to provide the Services without giving a reason. Yandex shall have the right to unilaterally extrajudicially refuse to fulfill the obligations undertaken in accordance with the Agreement by sending a corresponding message to the Restaurant by email ten (10) calendar days prior to the suspension of obligations. The termination of this Agreement shall not affect the validity of the Offer. |
| 5.3. Ресторан соглашается и признает, что внесение изменений в Условия влечет за собой внесение этих изменений в заключенное и действующее между Рестораном и Яндексом Соглашение и эти изменения в Соглашение вступают в силу одновременно с такими изменениями в Условиях. | 5.3. The Restaurant agrees and acknowledges that amendments to the Terms and Conditions shall result in the modification of the Agreement effective for and concluded between the Restaurant and Yandex and such amendments to the Agreement shall become effective as of the moment such amendments to the Terms and Conditions are made. |
| 5.4. В случае отзыва Условий Яндексом в течение срока действия Соглашения, Соглашение считается прекращенным с момента отзыва, если иное не оговорено Яндексом при отзыве Условий. | 5.4. Should Yandex withdraw the Terms and Conditions during the term of the Agreement, the Agreement shall be deemed terminated upon withdrawal unless otherwise is specified by Yandex at the time of withdrawal of the Terms and Conditions. |
| 5.5. Обязательства Сторон по Соглашению, которые в силу своей природы должны продолжать действовать, остаются в силе после окончания действия Соглашения. | 5.5. The obligations of the Parties under the Agreement, which by their nature shall continue in effect, shall survive the termination of the Agreement. |
| 6. ПРОЧИЕ УСЛОВИЯ | 6. MISCELLANEOUS |
| 6.1. В части, неурегулированной настоящими Условиями, Стороны руководствуются Договором, заключенным на условиях Оферты, и законодательством Нидерландов. | 6.1. To the extent not regulated by these Terms and Conditions, the Parties shall be governed by the Agreement concluded on the terms of the Offer and under the laws of the Netherlands. |
| 6.2. Стороны вправе в одностороннем порядке расторгнуть данное Соглашение, уведомив об этом другую Сторону не позднее, чем за 7 (семь) календарных дней до предполагаемой даты расторжения. Расторжение настоящего Соглашения не влияет на действие Оферты. | 6.2. The Parties shall have the right to unilaterally terminate this Agreement by notifying the other Party thereof not later than seven (7) calendar days before the proposed date of termination. The termination of this Agreement shall not affect the validity of the Offer. |
| 6.3. В случае если одно или более положений Условий (Соглашения) являются по какой-либо причине недействительными, не имеющими юридической силы, такая недействительность не оказывает влияния на действительность любого другого положения Условий (Соглашения), которые остаются в силе. | 6.3. If one or more provisions of the Terms and Conditions (Agreement) are for any reason invalid, unenforceable, such invalidity shall not affect the validity of any other provision of the Terms and Conditions (Agreement), which shall remain in force. |

| 2. РЕКЛАМНЫЕ УСЛУГИ | 2. ADVERTISING SERVICES |
| 2.1. По настоящему Соглашению Яндекс обязуется оказать Ресторану рекламные услуги, направленные на формирование и поддержание интересов потребителей к Ресторану и Товарам Ресторана путем участия Ресторана в Программе в качестве Партнера и Начисления Баллов Участникам Программы в связи с совершением ими Покупок Товаров Ресторана на Сервисе (далее — «Услуги»). | 2.1. Under this Agreement, Yandex shall provide advertising services to the Restaurant aimed at generating and maintaining consumer interest in the Restaurant and Restaurant Goods through the Restaurant's participation in the Program as a Partner and through the Points Accrual to the Program Participants in connection with their purchases of Restaurant Goods via the Service (hereinafter referred to as the “Services”). |

| 2.3. Яндекс вправе предоставить Ресторану техническую возможность проведения за счет Ресторана рекламных акций по начислению дополнительных Баллов Пользователям. По своему усмотрению Яндекс может отказать Ресторану в проведении рекламных акций. Ресторан оформляет заявку на проведение рекламной акции с описанием ее условий в Личном кабинете. | 2.3. Yandex shall have the right to allow the Restaurant the technical possibility to conduct promotions, at the Restaurant's expense, to accrue additional Points to the Users. Yandex may, at its sole discretion, refuse to allow the Restaurant to conduct promotions. The Restaurant shall make an application for a promotion with a description of its terms and conditions in Personal Area. |

В рамках оказания Услуг, Яндекс по собственной инициативе может разместить информацию о Ресторане и о проводимом рекламном мероприятии (об условиях Начисления Баллов за Покупки Товаров в Ресторане) на Сервисе Яндекса в целях привлечения внимания, формирования и поддержания интереса Пользователей к Сервису. | 2.4. As part of the Services, Yandex on its own initiative may place information about the Restaurant and the promotional event (on the conditions of Points accrual for Goods Purchases in the Restaurant) on the Yandex Service in order to attract attention, create and maintain the interest of Users to the Service. |
| 2.5. Яндекс в целях привлечения внимания Пользователей к Сервису и повышения уровня их лояльности по своему усмотрению и за свой счет вправе начислять дополнительные Баллы Пользователям. | 2.5. In order to attract the Users' attention to the Service and to increase their loyalty, Yandex shall have the right to accrue additional Points to the Users at its own discretion and at its own expense. |

Стороны отдельно согласовали, что в связи с техническими особенностями интеграции Программы в Сервис площадки присутствия Сервиса (веб-сайты, прикладные программы, в том числе программы для мобильных устройств) могут подключаться для Начисления и Списания Баллов не единовременно. | 2.6. The Parties have separately agreed that, due to technical features of integrating the Program into the Service, the Service availability areas (websites, applications, including programs for mobile devices) may not be connected for the Points Accrual and Writing-off at the same time. |
| 2.7. Стороны установили, что Яндекс будет оказывать Услуги Ресторану на территории г. Минска. В случае изменения перечня регионов, в которых Яндекс будет оказывать Услуги Ресторану, Стороны обязуются согласовать новую территорию оказания Услуг в рабочем порядке по электронной почте и/или иным доступным способом. | 2.7. The Parties have established that Yandex will provide the Services to the Restaurant in the territory of Minsk. In case the list of regions where Yandex provides Services to the Restaurant is changed, the Parties shall agree on the new territory of the Services provision in the regular course of business via e-mail and/or by other available means. |
| 3. СТОИМОСТЬ УСЛУГ | 3. COST OF THE SERVICES |
| 3.1. Стоимость Услуг Яндекса указывается в Актах об оказанных Услугах. | 3.1. The cost of Yandex Services shall be specified in the Services Acceptance Certificate. |
| 4. СРОК ДЕЙСТВИЯ УСЛОВИЙ И ИЗМЕНЕНИЕ УСЛОВИЙ | 4. VALIDITY AND AMENDMENTS TO THE TERMS AND CONDITIONS |
| 4.1. Условия вступают в силу с даты, указанной в разделе «Дата вступления в силу», или публикации Условий в сети Интернет по адресу: https://yandex.by/legal/eda_plus_for_restaurants в зависимости от того, какое из событий наступит позже, и действует до момента отзыва Условий Яндексом. | 4.1. The Terms and Conditions shall become effective on the date specified in the “Effective Date” section or when the Terms and Conditions are posted on the Internet at: https://yandex.by/legal/eda_plus_for_restaurants, whichever is later, and shall remain in effect until the Terms and Conditions are withdrawn by Yandex. |
| 4.2. Яндекс оставляет за собой право внести изменения в Условия и/или отозвать Условия в любой момент по своему усмотрению. В случае внесения Яндексом изменений в Условия такие изменения вступают в силу с момента размещения измененного текста Условий в сети Интернет по адресу: https://yandex.by/legal/eda_plus_for_restaurants, если иной срок вступления изменений в силу не определен дополнительно при таком размещении. | 4.2. Yandex reserves the right to modify and/or withdraw the Terms and Conditions at any time at its sole discretion. If Yandex makes amendments to the Terms and Conditions, such amendments shall become effective upon posting the Terms and Conditions as amended on the Internet at: https://yandex.by/legal/eda_plus_for_restaurants, unless any other term for entering into force of the amendments is additionally specified during such posting. |
| 5. СРОК ДЕЙСТВИЯ СОГЛАШЕНИЯ И ИЗМЕНЕНИЕ СОГЛАШЕНИЯ | 5. DURATION AND AMENDMENTS TO THE AGREEMENT |
| 5.1. Ресторан производит акцепт Условий (полное и безоговорочное принятие Условий) путем заполнения Заявки, направленной Яндексом Ресторану по электронной почте. Соглашение вступает в силу с момента акцепта Условий. | 5.1. The Restaurant shall accept the Terms and Conditions (full and unconditional acceptance of the Terms and Conditions) by filling out the Application sent by Yandex to the Restaurant by email. The Agreement shall come into force from the moment of acceptance of the Terms and Conditions. |
| 5.2. Яндекс после получения Заявки Ресторана вправе по электронной почте подтвердить возможность оказания Услуг, согласовать с Рестораном иные необходимые условия оказания Услуг либо отклонить Заявку (Рейтинг Ресторана на Сервисе ниже, чем 4.1; приостановление рассмотрения Заявок по техническим причинам в Сервисе и иным объективным причинам).Обязанность по оказанию Услуг, содержащихся в Заявке Ресторана, возникает у Яндекса только с момента подтверждения Заявки Яндексом в объеме, содержащемся в таком подтверждении. Яндекс вправе без объяснения причин отклонить Заявку Ресторана и отказаться от оказания Услуг. Яндекс вправе в одностороннем внесудебном порядке отказаться от исполнения обязательств, принятых в соответствии с Соглашением, путем направления соответствующего сообщения Ресторану по электронной почте за 10 (десять) календарных дней до приостановления обязательств. Расторжение настоящего Соглашения не влияет на действие Оферты. | 5.2. After receipt of the Application from the Restaurant, Yandex shall have the right to confirm by email the possibility of the provision of the Services, to agree with the Restaurant on other necessary conditions for the provision of the Services or to reject the Application (if the Rating of the Restaurant on the Service is lower than 4.1; in case of suspension of consideration of Applications for technical reasons within the Service or other objective reasons). The obligation to provide the Services contained in the Application from the Restaurant shall be born by Yandex only after the confirmation of the Application by Yandex to the extent contained in such confirmation. Yandex shall have the right to reject the Application from the Restaurant and refuse to provide the Services without giving a reason. Yandex shall have the right to unilaterally extrajudicially refuse to fulfill the obligations undertaken in accordance with the Agreement by sending a corresponding message to the Restaurant by email ten (10) calendar days prior to the suspension of obligations. The termination of this Agreement shall not affect the validity of the Offer. |
| 5.3. Ресторан соглашается и признает, что внесение изменений в Условия влечет за собой внесение этих изменений в заключенное и действующее между Рестораном и Яндексом Соглашение и эти изменения в Соглашение вступают в силу одновременно с такими изменениями в Условиях. | 5.3. The Restaurant agrees and acknowledges that amendments to the Terms and Conditions shall result in the modification of the Agreement effective for and concluded between the Restaurant and Yandex and such amendments to the Agreement shall become effective as of the moment such amendments to the Terms and Conditions are made. |
| 5.4. В случае отзыва Условий Яндексом в течение срока действия Соглашения, Соглашение считается прекращенным с момента отзыва, если иное не оговорено Яндексом при отзыве Условий. | 5.4. Should Yandex withdraw the Terms and Conditions during the term of the Agreement, the Agreement shall be deemed terminated upon withdrawal unless otherwise is specified by Yandex at the time of withdrawal of the Terms and Conditions. |
| 5.5. Обязательства Сторон по Соглашению, которые в силу своей природы должны продолжать действовать, остаются в силе после окончания действия Соглашения. | 5.5. The obligations of the Parties under the Agreement, which by their nature shall continue in effect, shall survive the termination of the Agreement. |
| 6. ПРОЧИЕ УСЛОВИЯ | 6. MISCELLANEOUS |
| 6.1. В части, неурегулированной настоящими Условиями, Стороны руководствуются Договором, заключенным на условиях Оферты, и законодательством Нидерландов. | 6.1. To the extent not regulated by these Terms and Conditions, the Parties shall be governed by the Agreement concluded on the terms of the Offer and under the laws of the Netherlands. |
| 6.2. Стороны вправе в одностороннем порядке расторгнуть данное Соглашение, уведомив об этом другую Сторону не позднее, чем за 7 (семь) календарных дней до предполагаемой даты расторжения. Расторжение настоящего Соглашения не влияет на действие Оферты. | 6.2. The Parties shall have the right to unilaterally terminate this Agreement by notifying the other Party thereof not later than seven (7) calendar days before the proposed date of termination. The termination of this Agreement shall not affect the validity of the Offer. |
| 6.3. В случае если одно или более положений Условий (Соглашения) являются по какой-либо причине недействительными, не имеющими юридической силы, такая недействительность не оказывает влияния на действительность любого другого положения Условий (Соглашения), которые остаются в силе. | 6.3. If one or more provisions of the Terms and Conditions (Agreement) are for any reason invalid, unenforceable, such invalidity shall not affect the validity of any other provision of the Terms and Conditions (Agreement), which shall remain in force. |
